BICO seeks an experienced and business-oriented In-House Counsel to lead and manage legal operations across the company. The position serves as the principal legal contract, accountable for contract review, negotiation, and risk management, and charged with maintaining ongoing regulatory compliance. The In-House Counsel works collaboratively with finance, commercial, operations, technical, and HR teams, while partnering closely with the BICO central legal department to ensure consistency with corporate legal standards and initiatives.
Responsibilities:
Contract Review and Management
- Draft, review, redline, and negotiate a wide range of business agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), vendor and licensing contracts, Non-Disclosure Agreements (NDAs), and distribution agreements.
- Provide clear, actionable business guidance by translating complex legal concepts for internal stakeholders.
- Assess contractual risk, propose mitigation strategies, and develop fallback positions in collaboration with relevant teams.
- Refine and implement internal workflows and templates to optimize contract execution.
Cross-Functional Legal Support
- Advise and support business functions—procurement, project delivery, IP, customer engagement, human resources—on legal and contractual matters.
- Guide policy development, document preparation, and interpretation, including employment-related matters; coordinate with external HR counsel as needed.
- Respond promptly to legal escalations and assist teams in addressing contractual challenges.
Governance and Compliance
- Ensure company contracts and practices satisfy U.S. federal, state, and applicable international regulations, working collaboratively with BICO Legal.
- Manage legal records, policies, and approval protocols to maintain robust corporate governance.
- Coordinate with external counsel for specialist advice and assist in monitoring legal budgets and costs.
Legal Liaison and Reporting
- Interface with BICO central legal team in Europe to maintain global standards and best practices.
- Support statutory reporting and governance demands from Biosero and BICO leadership.
Qualifications
- Juris Doctor (JD) from an accredited law school; active license to practice in California or ability to register as in-house counsel.
- 5–8 years of progressive legal experience (in-house or law firm), with expertise in technology, life sciences, or automation preferred.
- Track record in contract drafting and negotiation, with a capacity to deliver commercial legal advice in dynamic environments.
- Highly organized, proactive, and capable of managing multiple priorities with minimal supervision.
- Strong familiarity with procurement, compliance, employment law, and international business operations are highly desirable.
