Position Overview
A boutique alternative investment firm is seeking a highly organized, detail-orientedSenior Paralegal & Back Office Managerto support the firms investment offerings and operational functions. This fully remote position plays a key role in managing investment documentation, coordinating with third-party partners, and ensuring smooth execution of closings and compliance processes. The ideal candidate will be proactive, collaborative, and capable of navigating the legal, regulatory, and administrative aspects of private investment fund operations. We are looking for a proactive, detail-oriented legal professional with at least 10 years of paralegal experience, including substantial work in private placement offerings, corporate structuring, and regulatory compliance.
Key Responsibilities
- Assist in drafting and proofreading private placement memoranda, subscription agreements, and securities disclosures
- Prepare and revise LLC operating agreements, shareholder agreements, and related entity documents
- Conduct legal and regulatory research, especially relating to Reg D, Reg A, and tax code sections
- Organize and maintain due diligence files, closing binders, and cap tables
- Track filing deadlines and manage project timelines across multiple offerings
- Work with Broker Dealer in coordinating document collection, execution and signature logistics across parties
- Interface with clients professionally while managing follow-up and execution tasks
- Work with Venture.co on the establishment of offerings on its online platform and
manage investor closings
- Coordinate with 3rd-partyreport providers
- Coordinate with the accounting firm for all work related to investor tax documentation
- Work with partners and investors with ongoing communication and any necessary filings
Requirements
- Minimum 10 years of paralegal experience, ideally in securities, tax, or corporate law
- Prior work supporting Big
Law-trained attorneys or complex boutique legal practices
- Mastery of document formatting, version control, and legal editing conventions
- Strong research skills using Westlaw, EDGAR, and IRS/Treasury databases
- Excellent verbal and written communication skills
- Experience using legal practice tools (e.g., Clio, NetDocuments, DocuSign)
- Above-average editing and drafting
capabilities defined by exceptional attention to detail
- Highly self-directed with big picture reasoning skills, capable of making connections and foreseeing possibilities across multiple dealings
