TECH PRIVATE INVESTMENT FUNDS ASSOCIATE ATTORNEY

Our client, a premier AmLaw 25 firm, is seeking a driven mid-level Associate Attorney to join its Private Investment Funds Practice Group. This role is ideal for attorneys eager to work at the intersection of technology, venture capital, and private equity, advising leading fund sponsors on structuring, formation, and operations. You will gain hands-on experience in a broad range of sophisticated matters, including financings, acquisitions, and the creation of innovative alternative investment structures.
Candidate Profile
JD from a top-tier law school with an excellent academic record
Active Bar Admission in the relevant jurisdiction, in good standing
3-5+ years of substantive experience in private investment funds or related transactional practice
Proven ability to manage key workstreams in fund formation, structuring, and operations
Demonstrated experience representing venture capital and private equity sponsors in U.S. and international transactions
Prior experience at an AmLaw 100 or similarly sophisticated law firm is strongly preferred
Soft Skills: Excellent legal writing, communication, analytical, and organizational skills, and a strong ability to work both independently and as part of a team
Key Responsibilities
Represent domestic and international private equity and venture capital fund sponsors in fund formation, structuring, and ongoing operations
Advise clients on fund governance, management, and compliance matters
Handle complex transactions, including financings, acquisitions, and formation of alternative investment vehicles
Collaborate with partners and cross-practice teams on innovative deal structures and strategic solutions
Develop and maintain strong client relationships, serving as a trusted advisor to institutional investors and fund managers
Take on leadership responsibilities within deal teams, while mentoring junior associates

Compensation & Benefits
Competitive Compensation: Annual base salary is expected to range from $260,000 - $365,000, depending on experience, qualifications, and market factors
